WildWing Metropolitan District Consolidation Memo

In the recent Annual Meeting, the Board of Directors of WildWing Metropolitan Districts Nos. 1 - 5 discussed the process of consolidating the multiple districts into a single, consolidated district.  The Districts are moving forward with this process. The following FAQ’s are designed to provide you information on this important endeavor:

Q:    Why is the Board moving forward with consolidation?
A:    The Board is continually seeking ways to reduce the overall costs of the District. By combining the 5 existing districts into 1 district, we will realize administrative, legal and audit savings. Consolidation is specifically encouraged by both the State of Colorado and the Town of Timnath for these reasons. In fact, consolidation is addressed in the District’s service plan which was approved by the Town. 

Q:    What will the District achieve through consolidation?
A:    Consolidation of the Districts:
 Reduces administrative costs of the District by simplifying the structure and reducing duplicative overhead  including, but not limited to:

  • Reducing the required number of Board of Directors from 5 to 1 and the number of elected board members from 25 to no more than 7.
  • Reducing the associated director and officer insurance costs.
  • Reducing accounting and third party audit costs given a single set of financial records versus a set for each of the current 5 districts.
  • Reducing legal expenses associated with multiple filings and document preparation for each of the current districts.

Improves transparency to all District activities as everything occurs within a single operating district. 

Q:    Will consolidation have an impact on my property taxes?
A:    No. Consolidating the Districts does not impose new property taxes or change the approved mill levies defined in the Districts’ service plan.

Q:    Are my property rights impacted by District consolidation?
A:    No. Consolidating the Districts does not change existing or impose new restrictions on property owners within the community.

Q:    Will consolidation change the District’s responsibilities to the community?
A:    No. Consolidating the Districts does not change the responsibilities of the District to the WildWing Community as outlined in its approved service plan or as required by state law.

Q:    Will consolidation affect the WildWing Community Association (HOA) or any of the sub-Associations?
A:    No. The consolidation has no impact on the HOA’s. These are legal entities separate and apart from the WildWing Metropolitan District.  The HOA’s will continue to have their own Boards and management just as they do today. They will continue to provide architectural review and control, covenant enforcement, and operate and maintain the WildWing pool facility.

Q:    The decision to consolidate has been made. What is the process now? 
A:    The final step in completing the consolidation is obtaining approval from the homeowners and residents of the WildWing community. The Districts will be seeking this approval through an election we expect to be conducted this year.

Prior to conducting the election, the District must complete a number of legal requirements as outlined in Colorado State law.  These include obtaining approval from the Larimer District Court to conduct the consolidation election. The Court will be confirming: (1) the District’s intent to consolidate; (2) the Districts execution of a consolidation agreement that is consistent with the requirements of state Law; and (3) the consolidated district will better serve the interests of the homeowners and residents of the WildWing Community.

NOTE: The Board of Directors for each of the WildWing Metropolitan Districts recently approved a Consolidation Resolution indicating the District’s intent to consolidate into a single district. Each Board also approved the Consolidation Agreement for WildWing Metropolitan Districts Nos. 1-5.  These documents are now being filed with the Court which will review and schedule a hearing to determine the legality of the proposed consolidation and consider any objections that have been raised.  If all is in order, the Court will approve the election to be held this year.
